4.1 User Agreement

Thank you for choosing to trust the Hiplot Professional Biomedical Data Visual Analysis Cloud Platform (hereinafter referred to as Hiplot) under Shanghai Tengyun Biotechnology Co., Ltd. This Agreement will stipulate the rights, obligations and terms of service between Hiplot and the users who use the platform services (hereinafter referred to as “users” or “you”, including but not limited to individuals, teams, etc.), thus forming a legally binding contract. We strongly recommend that you carefully read and understand all the terms and conditions before registering. Hiplot reserves the right to make adjustments and updates to the content of the service as necessary without additional notice to the user. If the user has objections to the modified content, he or she can choose to cancel the platform services that have been obtained. If the user continues to use the platform services, it is deemed to have accepted all the new terms of service. Please be aware that Hiplot reserves the right to make adjustments or discontinue the service at any time without special notice to the user. If you have any questions or do not understand any of the terms of this agreement, please contact our relevant business departments, and we will interpret them for you in detail. Please note that this agreement applies to all Hiplot services under Shanghai Tengyun Biotechnology Co., Ltd.

I. User rights and responsibilities

  1. Registration of Users

Before using Hiplot services, users should fill in real and valid contact information: contact information, email address, and set a password with sufficient security level. All information you provide to Hiplot will be protected by Hiplot’s Privacy Policy and you are responsible and entitled to update your registration information in your account profile settings page.

  1. Use of Account

The right to use a cloud account is only available to the purchaser. Registered Users shall not transfer, lend, rent, sell, share or otherwise transfer their account and password to any third party for use.

  1. User Use

If the User’s use of Hiplot services does not comply with the relevant provisions of this Agreement, Hiplot has the right to make independent judgment when discovered through notification, reporting, etc., and has the right to immediately terminate the provision of some or all of the Services to the User without prior notice to the User.

If the user spreads and disseminates reactionary, obscene or other information that violates national laws and regulations through Hiplot cloud service, the system records of Hiplot cloud service may be used as evidence of the user’s violation of the law. The User shall be solely responsible for any damage or loss incurred by any third party as a result of the User’s uploading or dissemination of the above content on Hiplot Cloud Service.

Hiplot cloud platform is an online platform that provides data management and analysis services for users through technical means, and the service itself does not modify or edit the content transmitted by users.

  1. User Understanding

Hiplot may restrict some or all users from accessing or using parts of our services for a certain period of time, and the Website and/or Services may not be available for a certain period of time due to website maintenance or computer equipment or other reasons.

Hiplot Services only provide relevant network services, in addition to which the User is solely responsible for the equipment (e.g. personal computer, mobile phone and other devices connected to the Internet or mobile network) and costs (e.g. telephone charges, Internet charges or charges incurred as a result of the use of the mobile network) in connection with the use of such services.

Hiplot reserves complete and undivided title and intellectual property rights to the following contents and information

Except for the content uploaded and disseminated by the user, Hiplot cloud service and all its components, including but not limited to all content, data, technology, software, code, user interface and all derivative works and user information related thereto, etc., may not be directly or indirectly published, displayed, modified or republished for the purpose of publication or display, or used for any other commercial purpose without the permission of Hiplot. Hiplot shall not be liable to the User or any third party for any delays, inaccuracies, errors, omissions, or any damages arising therefrom in the transmission or submission of all or part of the above information.

  1. Software Ownership

All rights to any software used by Hiplot Cloud to provide analysis services (including but not limited to any code, images, photos, motion graphics, videos, audio recordings, music, texts and additional programs, related help materials, etc.) contained in the software belong to the copyright owner of the software. Users may not reverse engineer, decompile or disassemble, attempt to explore its source code, or commit any act that may infringe copyright, except with permission from the copyright owner of the software.

  1. Trademarks

The service marks and brands Hiplot, including but not limited to “Hiplot” and the Hiplot logo (Logo), are the property of the Company. Any other trademarks, service marks, logos, or third party trade names appearing on the Services are the property of third parties. The user may not reproduce or use the above logos, logos and trademarks without the written consent of the owner.

  1. Data Submission

The User has the right to submit data to Hiplot at any time in accordance with the terms of this Agreement, provided that such data complies with the relevant applicable laws and regulations and strictly complies with their provisions. For data that is successfully submitted and subject to processing, you grant Hiplot a non-exclusive right to aggregate and process the data.

  1. Data Content

Users shall not misuse Hiplot’s services, and any information, materials, text, software, music, audio, photographs, images, videos, information, user registration information or other materials (hereinafter collectively referred to as “Content”) uploaded, posted, sent instant messages, e-mails or any other transmitted through this Service shall be the responsibility of the Content Provider and User for their uploading and use. As a service platform for data management and analysis, Hiplot has no control over the content transmitted through the Service and cannot fully monitor the usage behavior of users, so it cannot ensure the legality, accuracy, completeness, authenticity or quality of the content; Users understand that you should do so at your own risk and not rely on the Hiplot Services.

  1. Data monitoring

Hiplot reserves the right to monitor the User’s use of Hiplot network services, and if it is found that the User violates any provisions of this Agreement when using the network services provided by Hiplot, Hiplot has the right to require the User to make corrections or directly take measures that Hiplot deems necessary (including but not limited to modifying or deleting the content uploaded by the User, suspending or terminating the User’s right to use the Web Services) to mitigate the impact of the User’s misconduct.

V. Commitments and Guarantees

The User warrants that the Content uploaded by the Hiplot Service shall not and is prohibited, directly or indirectly:

  1. Use the network services provided by Hiplot cloud service to upload, publish, transmit or otherwise disseminate any information that violates national laws, regulations and policies, harmful, threatening, abusive, harassing, defamatory, vulgar, offensive, obscene, pornographic, obscene, separatism, hurting national feelings, etc., or other objectionable information that Hiplot deems;

  2. interfere or attempt to interfere in any way with the proper functioning of the Hiplot Services or any part or function of the Hiplot Website;

  3. Submit User Content that you know is false, misleading, untrue, or inaccurate;

  4. Without permission, entering the computer information network or using computer information network resources, deleting, modifying or adding, storing, processing or transmitting data and application programs that are deleted, modifying or adding, intentionally destroying programs, or endangering the security of computer information network networks;

  5. Post content that infringes the copyright, trademark or trade secret of others;

  6. Display or otherwise provide any user information to any non-original user without the prior consent of the original user;

  7. Unauthorized impersonation or access to Hiplot services; or allow any other person to personally identify the user without the user’s express consent;

  8. Posting spam advertisements or illegally promoting products or services;

  9. Advocating, abetting or participating in any multi-level pyramid scheme or pyramid scheme, or posting malicious harassment information on forums obtained through the Services.

If the User violates any of the above commitments, Hiplot has the right to issue a warning, restrict the publication, and up to disqualification from use, depending on the violation; If losses are caused to Hiplot Cloud Service, Hiplot Users or any Partner due to the User’s violation of the above guarantee, the User must bear all legal responsibilities and compensate for the corresponding damages.

  1. Protection of intellectual property rights

If the content uploaded by the user allows other users to use the service, download, view, listen to or otherwise access or disseminate, the user shall ensure that the content and related activities published by the user comply with the corresponding intellectual property laws and regulations and copyright policies, including but not limited to the following:

  1. As soon as the user receives a notification of infringement, he or she shall immediately remove or disable access to the content involved in the infringement and immediately contact the party who issued the notification for detailed information.

  2. The User acknowledges and agrees that Hiplot will process formal infringement notices submitted by third parties in accordance with relevant laws and regulations, and will remove or disable access to allegedly infringing content upon request. At the same time, Hiplot will take appropriate policy measures and work to prevent repeated infringements in similar situations.

  1. Privacy Protection

Hiplot respects the protection of users’ personal information, and all information you provide to Hiplot during the registration process will be strictly protected by Hiplot’s privacy policy. Hiplot will never disclose to public or to third parties the non-public content stored by users in Hiplot cloud services, except in the following cases:

  1. In order to protect and maintain Hiplot’s trademark rights, patent rights and all other legitimate rights and interests;

  2. If required by relevant laws, regulations or legal service procedures of Hiplot cloud services;

  3. In the event of other circumstances where it is necessary to disclose, edit or disclose personal information in accordance with the law.

  1. Disclaimer

In view of the characteristics of the network service, you are aware that during the use of the Hiplot service, the service may be interrupted due to risk factors such as force majeure. If the Hiplot service involved is free of charge, Hiplot does not need to notify the user in advance when Hiplot changes, interrupts or terminates. In the above situation, Hiplot will deal with and repair it in a timely manner, but to the extent permitted by law, we shall not be liable to any user or any third party for any loss arising therefrom.

To the extent permitted by law, Hiplot shall not be liable for interruption or interruption of services caused by, but not limited to:

  1. There may be program errors during the open test of Hiplot, and Hiplot service shall not be liable for the loss of user data due to such circumstances. During the open beta period, users should properly back up the uploaded data;

Hiplot Service may change the Service or delete some of its functions at any time for any reason, cancel or terminate the Service to the User at any time, and the decision to cancel or terminate the Service does not require reason or notice to the User, once the Service is canceled, the User’s right to use the Service immediately terminates, and any information stored by the User in the Service may not be restored;

  3. Hiplot Service needs to regularly or irregularly overhaul or maintain the platform or related equipment providing network services, if such circumstances cause the interruption of paid network services within a reasonable period of time, Hiplot Service shall not bear any responsibility for this, but Hiplot Service shall notify in advance as far as possible;

  4. The user’s computer software, system, hardware and communication lines are faulty;

  5. Damaged by computer viruses, Trojan horses or other malicious programs or hacker attacks;

  6. The User improperly operates, or the User uses the Service in a manner other than that authorized by Hiplot;

  7. Other circumstances beyond Hiplot’s control or reasonably foreseeable.

You understand and agree that in the process of using this service, you may encounter risks caused by network information or other user behavior, and Hiplot is not responsible for the authenticity, applicability and legality of any information, nor is it responsible for the damage caused to you by infringement. These risks include, but are not limited to:

  1. Anonymous or pseudonymous information from others that contains threatening, defamatory, objectionable or illegal content;

  2. Any psychological or physical harm and economic loss caused or likely to be caused or may be caused by others due to the use of this service;

  3. Disputes or losses caused by the User’s authorization of third parties (including third-party applications) to access/use the content of its Hiplot Service Space shall be the responsibility of the User and have nothing to do with Hiplot;

  4. Other risks caused by network information or user behavior.

Hiplot has the right to deal with illegal content, but this right does not constitute an obligation or commitment of Hiplot, and Hiplot does not guarantee that illegal acts will be detected in a timely manner or dealt with accordingly.

  1. Miscellaneous
  1. The right of final interpretation of this agreement belongs to Hiplot.

  2. This Agreement shall take effect upon publication, and Hiplot has the right to modify the content of the Agreement at any time, and the result of the modification will be published on the Hiplot service website. If you do not agree with the modifications made by Hiplot Services to the relevant terms of this Agreement, the User has the right to stop using the Web Services. If the User continues to use the web service, it is deemed that the User accepts the modifications made by Hiplot to the relevant terms of this Agreement.

  3. Hiplot service for all notifications to users can be made through web announcements, emails, mobile phone SMS or regular mail transmission; Such notice shall be deemed to have reached the addressee on the date of sending.

  4. The conclusion, execution and interpretation of this Agreement and the resolution of disputes shall be governed by the laws of China and shall be subject to the jurisdiction of the courts of China. If any dispute arises between the two parties regarding the content of this agreement or its implementation, the two parties shall try to resolve it through friendly negotiation; If the negotiation fails, either party may file a lawsuit in the people’s court where Hiplot is located.

  5. This Agreement constitutes the entire agreement between the parties on the matters stipulated in this Agreement and other related matters, and does not give the parties to this Agreement other rights except as provided in this Agreement.

  6. If any provision of this Agreement is wholly or partially invalid or unenforceable for any reason, the remaining provisions of this Agreement shall remain valid and binding.

  7. If these Terms and Conditions are translated into other languages, including English, any conflict or ambiguity will prevail in Chinese version.

These Rules are formulated to protect the legitimate rights and interests of ordinary users, developers and the Hiplot platform.

If users (including all developers, the same below) violate the rules, their violations should be corrected, and 100 Hi coins should be deducted. If the number of Hi coins is less than 100, they should be reset. Please refer to the HiCoin Acquisition Rules on the Hiplot platform for specific funds such as HiCoin acquisition rules.

For users who have violated the rules for three or more times, the Hiplot platform will lock their accounts and give a message warning on the platform.

The user violates multiple rules at the same time, or violates other rules during the violation processing period. Follow the principle of emphasis, and only implement the heaviest rule processing.

Users’ violations, complaints from other users or behavior records of the Hiplot platform, once confirmed, will be deemed as violations.

The user can submit an application for violation appeal to the platform customer service within 15 days from the time when the violation is handled.

Types of general violations and punishment measures

  1. Publishing spam ads: refers to the behavior of users to publish advertising information that has nothing to do with requirements and does not help the completion of requirements. If the information released is identified as spam, the platform will block the information and deduct 5 Hi coins.

  2. Publishing sensitive information refers to publishing information prohibited by laws, regulations and administrative rules or other information that violates public order and good customs. If the published information is identified as sensitive information, the platform will block the information and deduct 5 Hi coins.

  3. Publishing obscene and pornographic information refers to publishing obscene, pornographic, vulgar and other information. If the information released is deemed as obscene and pornographic information, the platform will block the information and deduct 10 Hi coins.

  4. Embezzlement of pictures, programs, words, etc.: refers to the user’s unauthorized use of other developers’ pictures, programs, words, and other original content. If it is identified as picture theft, the platform will block the information and deduct 10 Hi coins.

Types of serious violations and punishment measures

  1. Malicious submission of analysis task

Hiplot has opened the use rights of all official proprietary programs for free, and does not limit the number of times of use. The purpose is to adhere to the platform’s consistent purpose of “free and open”. However, if users submit tasks maliciously, including but not limited to: massive centralized submission of analysis tasks by illegal means such as viruses, deliberate submission of large data that occupy computing resources for a long time, and other behaviors, after being reported by other users or verified by the platform, they will be permanently blocked and the account data will be deleted. All economic losses caused thereby shall be borne by the user, and the platform will not bear any legal liability.

  1. Malicious profit

Hiplot has free access to all official proprietary programs. Up to now, Hiplot does not directly charge for the use of analysis tools. If users make profits or conduct commercial transformation through the analysis tools in the Hiplot platform, they must obtain the commercial authorization of Hiplot. If it is verified that there is commercial sales or profit making, the platform will permanently seal the number and delete the account data. Hiplot and its affiliated Shanghai Tengyun Biological Co., Ltd. will have the right to file a lawsuit to the local people’s court with jurisdiction to recover all profits. At the same time, all economic losses caused thereby shall be borne by the user, and the platform will not bear any legal liability.

  1. Malicious evaluation

It means that the evaluator makes a “bad” or “good” evaluation on the service providers of the Hiplot platform and application plug-ins in the name of himself or others with the purpose of causing damage to the service providers being evaluated. If a user is reported to be a malicious evaluation, once it is established, the evaluation will resume and 20 Hi coins will be deducted from the malicious evaluation.

  1. Malicious report

It refers to the behavior that users themselves or use others to report the normal information of other users for many times in a short time, which seriously hinders the normal activities of other accounts. No matter whether it has direct or indirect impact on other accounts, 20 Hi coins will be deducted each time.

  1. Abuse and slander others

Including but not limited to the following two cases:

  1. 20 Hi coins will be deducted each time for malicious slander, belittle and abuse against other users by users themselves or by others through fabricating, spreading false facts and other improper means.

  1. Embezzlement of others’ accounts

It refers to the theft of other people’s Hiplot accounts, which is suspected of violating other people’s property rights. Deduct 100 Hi coins and permanently close the account.

  1. Defraud others of their property

It refers to the behavior that the service provider illegally obtains others’ property through the Hiplot platform for the purpose of making illegal profits (such as stealing others’ brand image to cheat, etc.), and is suspected of infringing others’ property rights. Deduct 100 Hi coins and permanently close the account. In addition, the fraudster must also bear the punishment of the corresponding laws and regulations.

  1. Induce or threaten the other party’s praise

Refers to the user’s behavior of asking the other party to give him or her favorable comments by means of inducement, deception, coercion, etc., including but not limited to the following situations:

In case of any dispute between Hiplot and you regarding the signing, performance or interpretation of this agreement, both parties shall try to solve it through friendly negotiation. If these terms and conditions are translated into other languages including English, the Chinese version shall prevail in case of any conflict or ambiguity.

  1. About Intellectual Property

The third party obligee can fill in the infringement complaint information in the following format and submit it to the platform:

Reproducing without the explicit authorization of the relevant copyright owner of Hiplot is an infringement, and the relevant copyright owner and the Hiplot platform reserve the right to investigate the legal liability of the infringer.

In case of any dispute between Hiplot and you regarding the signing, performance or interpretation of this agreement, both parties shall try to solve it through friendly negotiation. If the negotiation fails, Hiplot and you agree that the people’s court where Shanghai Tengyun Biotechnology Co., Ltd. is located shall be the court of first instance. If these terms and conditions are translated into other languages including English, the Chinese version shall prevail in case of any conflict or ambiguity.

Before using the developer service (hereinafter referred to as “this service”), you should carefully read and abide by all the contents of this agreement. You must carefully read and fully understand the contents of each clause, including but not limited to clauses that exempt or limit Hiplot’s liability, clauses that restrict developers’ rights, dispute resolution and applicable laws. If you have any questions about the terms of this agreement, please ask through the feedback channel of the platform, and we will explain the terms to you. If you do not agree with any content of this agreement, or cannot accurately understand our interpretation of the terms, please do not carry out any subsequent operations. Otherwise, you have accepted the following terms and conditions and agreed to be bound by this agreement. At that time, you should not claim that this agreement is invalid or require to cancel it on the grounds that you did not read the contents of this agreement, did not get our answers to your questions, or had incorrect understanding of the terms.

i.Signatory

This agreement is entered into by and between the legal entity (hereinafter referred to as “developer” or “you”, including individual developers and enterprise developers) that agrees to use developer services in accordance with this agreement and Hiplot Platform and its affiliated enterprise Shanghai Tengyun Biotechnology Co., Ltd. (hereinafter referred to as “Shanghai Tengyun” or “us”).

ii.Effectiveness and Scope of Application of the Agreement

By clicking to accept this Agreement or use any of the Developer Services, you agree to be bound by this Agreement and use the Developer Services in accordance with the provisions of this Agreement. In the future, we will take this agreement as the charter, continue to enrich the terms and rules related to developer services, and publish them in accordance with legal procedures. All rules published by Hiplot (hereinafter collectively referred to as “Developer Service Operation Rules”) are an integral part of this Agreement and have the same legal effect as the text of the Agreement.

As a developer of the Hiplot platform, you should abide by the Hiplot User Terms of Use and other agreements and rules involving the services of the Hiplot platform, provided that they do not conflict with the terms of this agreement. You need to understand that the open interfaces and technical services that the developer services can interface with may come from different entities, and you must comply with the use specifications of relevant interfaces and the service terms of relevant technical services at the same time. Once you accept or use the relevant interfaces and services, it is deemed that you agree to and accept the restrictions of this Agreement and relevant usage specifications and service terms.

If you publish your application to Hiplot and its clients after entering the developer platform, on the basis of abiding by this agreement, you should also abide by the relevant agreements and rules of the platform and clients, such as the Privacy Policy, the relevant rules of the Hiplot platform, and the possible functional service agreements.

Any amendment to this Agreement and the formulation or modification of the rules, once effective, shall constitute a supplement to the rights and obligations of the parties hereto and become a part of this Agreement. If you do not agree with the relevant changes, you must immediately notify Hiplot by means of a formal written notice sealed or signed, and Hiplot has the right to choose to terminate the relevant changes or terminate the contract with you immediately. If you log in or continue to use developer services after the relevant changes take effect, you will accept the revised contract. Unless otherwise expressly stated or otherwise signed, any expanded service scope, software function enhancement or service name adjustment shall be subject to this Agreement.

iii.Definitions

Developer: refers to the business entity that resides in the developer platform and provides services for users in its own name.

Developer Service: refers to the general name of neutral technical support and services provided by Hiplot to developers and their applications.

Hiplot development platform: refers to the general name of the environment set up and maintained by Hiplot to provide technical support and services for developers, hereinafter referred to as “developer platform”.

Application: refers to the application created by developers using the developer services provided by Hiplot.

User: refers to the user of the application.

User information processing: refers to any operation or a series of operations on user information, including but not limited to: access, collection, storage, use, disclosure, copy, change, destruction, deletion, etc.

iv.Developer Service Content and Specification

4.1 Technical service content

As the operator of the developer platform, Hiplot only provides neutral technical platform services, including remote interface calls, front-end framework development, service connection channels, data encryption transmission and related Internet application technologies. Hiplot reserves the right to change and upgrade the service and its related functions, modules and application software at its own discretion at any time. The provision of all the above new modules, functions and software services is still applicable to this agreement unless otherwise specified by Hiplot. Services may be added or modified at any time due to the unilateral judgment of Hiplot, or the provision of services may be suspended due to regular or irregular maintenance, and you will be notified of corresponding and reasonable changes. In the course of your use of the service, Hiplot shall not be liable to you or any third party for any damage caused by delay, inaccuracy, error or omission in transmission or communication under any circumstances.

You shall be responsible for the creation, involvement, development, submission, editing, modification, testing, operation, maintenance, upgrade, promotion and customer service of the application according to the requirements of this Agreement and the developer’s operation service rules, and bear the corresponding costs. If you authorize the designated third party (hereinafter referred to as the “designated party”) to carry out all or part of the above work in your name, you shall bear full responsibility for the designated party’s behavior. If you or the designated party authorized by you have any violation of laws and regulations or breach of contract during the use of your account and/or authority, or cause any loss to users, Hiplot and third parties, you shall bear legal liabilities as the authorized party.

You can enter the developer platform only after completing real name authentication. In order to ensure the security, stability and good user experience, Hiplot will review, screen, test and evaluate the legitimacy, rationality, security, stability, operability, user experience and other aspects of the application by itself or by entrusting a third party, including but not limited to development information verification, security testing, UI testing, random testing, dynamic testing, to confirm whether it provides communication links and follow-up services. Before approval, applications cannot be published, that is, they cannot be displayed to users, searched, added or otherwise processed.

To protect the rights and interests of users, you should clearly and accurately indicate the true identity of the developer to users and update it in a timely manner. In order to protect the right of users to know, we will publicly disclose the information of the application subject on the application page or other pages in a way that technology can do. You shall be responsible for the authenticity, legality, accuracy and effectiveness of the submitted materials and disclosed information, and promise that the application subject information is consistent with the subject displayed in the actual page through the agreement or copy. If the application you develop or submit needs to obtain legal qualification or complete relevant filing, you should provide a clear explanation and submit legal, true and effective certificates or documents when you settle in. If the laws, regulations and regulatory policies change, or we find that you should obtain legal qualifications or complete the relevant filing within our legal authority and ability, we have the right to require you to resubmit or supplement the corresponding certificates or documents. If the legal qualification or relevant filing of the application you developed or submitted has a valid period, you must resubmit the qualification certificate before the expiration of the valid period. If the application you developed or submitted requires other qualifications for its actual operation, operation and promotion (such as other open source or non open source plug-ins you borrowed in development), you must provide us with relevant qualification certificates, and we will review the certificates you submitted within our capabilities. If you violate the above agreement, we will refuse, suspend or terminate the provision of services. If you cause damage to users, third parties and Hiplot, you should bear legal responsibility.

You understand and agree that Hiplot can only surface identify the scope of use, statement and commitment, development documents, instructions for use and other materials submitted by you in the review process based on the knowledge level of ordinary or non professional personnel, and Hiplot reserves the right to spot check, require you to supplement and submit, and update information in a timely manner. Hiplot will make a comprehensive evaluation in a reasonable and prudent manner within its legal authority and capacity. However, Hiplot is unable to substantially review your actual operation, operation and promotion, and does not provide any guarantee for this. You should carefully read the agreements, specifications and rules related to the reference release, and we will also provide you with various common rejections as far as possible. However, due to the continuous changes in laws and regulations, regulatory requirements, product specifications, user experience needs, etc., the reasons for your application being rejected are not necessarily included in the published terms, and the legal consequences arising therefrom are solely borne by you.

For the avoidance of doubt, we hereby declare that the application is owned by you and provides services. We will not be recognized as the provider or co provider of the application and its services due to our audit and suggestion behavior, nor will we assume any responsibility for the application and its services due to our audit and suggestion behavior, or reduce or exempt any responsibility you should assume. You need to assume all relevant responsibilities for the application and services.

4.2 Service specifications

4.2.1 You should abide by the relevant systems and agreements of the Hiplot platform.

4.2.2 When you confirm the use of this service and related interfaces and technical documents, you should comply with laws and regulations, regulatory requirements, this agreement and the developer operation service rules. Unless authorized by us, you can only use the rights, interfaces and technical services related to this service in your name through yourself or authorized designated parties, and may not carry out for any third party, including but not limited to the application, transfer of interfaces or export, and sale of services provided by us under this agreement.

In order to meet the development of industry, technology and user needs, Hiplot and its affiliated companies can independently adjust the open interfaces, technical services, development documents and other contents provided to you, including but not limited to increase or decrease, update, upgrade, etc. You are obliged to update relevant functions in a timely manner after receiving the adjustment notice or the documents, function packs and other contents to be updated provided, delete all relevant data and documents of the original relevant functions, and ensure that they are no longer used and provided to other third parties for use. In case of any loss, dispute, etc. caused by your failure to update, use or provide the third party with relevant functions in a timely manner, it has nothing to do with Hiplot, and you need to solve and bear the responsibility. Therefore, you should bear the responsibility for the economic losses and network security risks caused by Hiplot.

4.2.3 You should have all the authorizations, licenses, approvals and qualifications required for the operation, signing and performance of this agreement, and keep your contact information open. If your application is associated with the offline entity’s business premises, you should ensure that the offline entity’s business premises are legal, authentic, effective existence/existence and operation; The site information (name, address, etc.) you submitted in the application should be consistent with the actual situation.

If there is any change to the above information, you should immediately submit the changed data to us in writing. We still have the right to rely on all the information before the change before the change is verified. If we find, or after being notified by a third party, that the information you provide is illegal, untrue, inaccurate or incomplete, and we cannot contact you, we will immediately suspend or terminate the service as needed, and you shall bear all legal liabilities arising therefrom.

v.Data and Privacy

5.1 In the process of applying for this service, you need to fill in some necessary information, such as subject information, service description, contact information, etc. Please keep these information true, accurate, legal and effective, and pay attention to timely updating. Otherwise, the service may not be available or may be restricted during use. In order to prevent you from submitting information repeatedly, you agree that we can legally collect relevant information from other subjects and share relevant information with other subjects who can legally collect or use your information.

5.2 In order to improve the security of developer services, prevent user information from being obtained by criminals, and provide you with value-added information analysis services to improve and improve our services, you understand and agree that we can collect application services, operations and other relevant information without violating laws and regulations. In addition, in order to let you know about your service acceptance or recommend you with better services, you agree to receive emails, announcements, notices, etc. from us, affiliated companies and partners, and actively cooperate with us to improve the function upgrade and experience optimization.

5.3 When you process user information and submitted data:

5.3.1 You shall comply with this Agreement and applicable laws and regulations, and provide us with necessary information or agree that we take the initiative to collect information directly related to the application to show that you have complied with this Agreement and relevant laws and regulations. If we believe that your behavior violates laws, regulations and regulatory policies, this Agreement and the requirements of the developer service operation rules, and there are situations that may damage the user experience or interests, we will suspend or stop providing this service, require you to rectify by deleting relevant information, and not deal with user information in any same or similar way, and report to the regulatory authority as necessary.

5.3.2 You shall formulate and comply with the privacy policy, clearly inform your users of the legality, legitimacy and necessity of user information and data submission for collection and use, and obtain the express consent of users.

5.3.3 Without our permission, you shall not process user information or data submitted by users through third-party tools, plug-ins, etc. Unless otherwise agreed in writing by us, you can only be entrusted to process the necessary personal information and submitted data of users and their end users for the purpose of completing relevant application services, and shall not collect, process, store, capture, reuse, obtain or require users to provide any personal information and submitted data of users and their end users beyond the scope of the above purposes or for any other purpose, Including but not limited to the information contained in the Hiplot and/or launch platform, and shall not be used outside the relevant applications or disclosed to any third party.

5.3.4 You should take the necessary security management and technical measures that meet our requirements to ensure the security of all kinds of information obtained legitimately through the application. Once you find or may have any security incident of unauthorized access to or use of users’ and their end users’ information, you should notify us in a timely manner, and report the disposal to the relevant regulatory authorities according to applicable laws. To determine the level of security management and control, you should accept our security detection, vulnerability scanning and data security suggestions from time to time, and cooperate with the rectification or technical improvement measures.

5.3.5 With respect to any personal information and data submitted by the Hiplot platform, you can only be entrusted to use such data according to the written instructions provided by the Hiplot platform. If the Hiplot platform requires the deletion of such data, you shall use reasonable efforts to delete such data.

5.3.6 Without our prior written consent, you shall not transfer any personal information obtained through the application to any other country or region outside the mainland of the People’s Republic of China, or to any other person or organization, and any such transfer or transmission can only be carried out under the permission of applicable data and privacy laws.

5.3.7 Without our consent, you shall not use any data obtained from the application and Hiplot platform for public or private purposes, including but not limited to any marketing, advertising, paper publishing, disclosure to others and other activities.

5.4 Except as expressly stipulated by laws and regulations, all rights of developer platform data (including any user registration information, user use data for developer applications, and original data submitted by users to the platform for data analysis) belong to Hiplot. Without our prior written consent, the developer shall not use the aforesaid data for any purpose other than the purpose set forth in this Agreement, nor disclose such information to any third party.

5.5 For the purpose of risk prevention and control, we can reasonably restrict or prevent you from obtaining user information and any other information stored or processed at the designated party, Hiplot and its affiliated companies at any time. Once you stop using the services under this Agreement, or we stop providing the services under this Agreement, you shall immediately delete all kinds of information and backups obtained from various interfaces, including but not limited to user information such as avatar, nickname, log information, device information, and shall not use it again in any way, except for those that should be retained or can be legally retained with the written consent of the information provider as required by laws and regulations.

5.6 If we believe that your behavior violates applicable laws and regulations, does not meet the requirements of regulatory authorities and may damage the user experience or interests, we have the right to immediately suspend or stop providing services under this agreement, directly delete or require you to delete relevant information according to the developer service operation rules, and shall not deal with the information of users and their end users in any same or similar way, Relevant records shall be kept and reported to the regulatory authorities according to applicable laws and regulations.

5.7 In order to help you better serve users, we may integrate the technical capabilities of our affiliated companies and provide you with statistical analysis and marketing content delivery tools or plug-ins based on user groups. You can view the relevant statistical analysis data within the scope of permission, or select and decide the marketing content launch strategy through the launch tool or plug-in settings. In order to maintain the safe and stable operation of the service and protect the legitimate rights and interests of users, we and associated companies may review your launch strategy and content, and you need to adjust according to our suggestions. However, our review or suggestion does not mean that we have any commitment or guarantee for your behavior under this agreement, nor can it replace all the obligations or procedures that you should perform, nor does it constitute any joint liability for your behavior under this agreement, and you need to be independently responsible for your own behavior. At the same time, any data you obtain through the use of statistical analysis and marketing content delivery tools or plug-in services can only be used for your own service operations. You shall not use the relevant information for other purposes or disclose it to any third party without the prior written permission of us and the associated companies, including but not limited to: it shall not be used for public relations and other information disclosure; The user privacy and data security shall not be infringed; Do not attempt to associate, restore and analyze the behavior or other information of specific users; It shall not be compared with similar data from other channels.

vi.Expenses

The developer services under this agreement are currently provided to you free of charge by Hiplot. If Hiplot charges you a reasonable fee in the future, we will take reasonable ways and notify you in advance in the manner agreed in Article 10 of this agreement within a reasonable period to ensure that developers have the right to make full choices.

You need to understand and agree that if your application charges users, in order to ensure transaction security, you need to comply with the developer operation service rules. You agree on the charging items and standards, but you should ensure that they are reasonable and do not violate laws, regulations and regulatory requirements.

When you withdraw money from the hiplot account, you should clearly know the withdrawal rules on the withdrawal page. The actual amount received will be less than the withdrawal amount on the page due to various taxes and fees.

vii.Intellectual Property Rights

7.1 You understand and agree that we can reasonably use your name, logo, logo, pictures, operation interface and other relevant materials when promoting the service.

7.2 All content on the developer platform, including but not limited to code, works, pictures, files, information, data, website architecture, website image arrangement, and web page design, shall be owned by Hiplot or its affiliated companies according to law, including but not limited to trademark rights, patents, copyrights, trade secrets, etc. Without the written consent of Hiplot or other obligees, no one shall use, modify, copy, publicly disseminate, change, distribute, distribute or publicly publish the website program or content.

7.3 Unless otherwise specifically stated, the copyright, patent right and other intellectual property rights of the software on which Hiplot provides this service belong to Hiplot or its affiliated companies.

7.4 You confirm that you have completely independent intellectual property rights or other legal authorizations for your applications and the functions, interfaces, schemes, documents and other contents that you adapt to the service, and will not infringe the legitimate rights and interests of any third party. At the same time, you confirm that you have legal rights to the materials, information or documents that you publish, confirm, upload or display in your application in other ways, and do not infringe or will not infringe the legal rights or interests of any other party (including privacy, portrait rights, copyrights, trademarks, patents, trade secrets, etc.), and there is no information that violates the Internet content management regulations. If any dispute arises from the violation of the above guarantee or other commitments in this Agreement, or we and our affiliates are involved in any punishment, dispute or lawsuit, you shall be responsible for solving it, including but not limited to resolving the dispute, bearing the punishment, responding to the lawsuit and bearing the corresponding expenses.

viii.Legal liability and exemption

8.1 You shall abide by the following agreement on “exemption and limited liability”:

8.1.1 For the development, operation, support and maintenance of developer applications, the developer agrees to independently bear all risks and consequences. Hiplot has no responsibility and obligation to assume any responsibility for any inaccurate or incorrect content published on the Hiplot platform, whether such inaccuracy is caused by users or by any device or program used by or connected with the application.

8.1.2 The Hiplot platform is only used as a place for developers and users to find trading partners and negotiate on application transactions to obtain or use various applications. The signing of this agreement does not mean that the Hiplot platform becomes a participant in the transaction between the user and the developer on the Hiplot platform. Hiplot only provides technical services for the aforementioned transaction, and does not make any express or implied guarantee for the legality, validity of the developer’s and user’s behavior and the authenticity, legality and effectiveness of the application.

8.1.3 The developer clearly understands and agrees that the Hiplot service will be provided according to the “status quo” and “available” status. Based on the existing technology, Hiplot will try its best to provide corresponding security measures to ensure the security and normal operation of the service. However, due to possible computer viruses, network communication failures, system maintenance and other factors as well as possible force majeure events, Hiplot hereby expressly disclaims any express or implied warranty for the service, including but not limited to the applicability of the service, no errors or omissions, continuity, accuracy, reliability, and suitability for a specific purpose. Hiplot shall not be liable for any damages caused by any of the following circumstances, including but not limited to damages for loss of profits, goodwill, use, data and other intangible losses (whether or not Hiplot has been informed of the possibility of such damages):

  1. Use or failure to use the Services;

  2. Unapproved access by a third party or change of user’s transmission data or data by a third party;

  3. A third party’s statement of or conduct about the Services; Or any other matters related to the Service not caused by Hiplot, including negligence;

  4. Possible computer virus, network communication failure and system shutdown maintenance.

8.1.4 In no case shall Hiplot be liable for any indirect, consequential, disciplinary, incidental, special or penal damages, including the loss of profits suffered by developers using the open platform (even if Hiplot has been informed of the possibility of such losses).

8.2 You clearly know and understand that the Hiplot platform only provides you with neutral technical services under this clause. The signing or confirmation of this agreement does not mean that the Hiplot platform becomes a participant in the transaction relationship between developers and users.

8.3 Any disputes and liabilities arising from your application and related services, as well as any consequences arising from the developer’s violation of relevant laws and regulations or the provisions of this article, shall be borne by the developer independently, and the developer shall compensate for the losses, which has nothing to do with the Hiplot platform. If the rights and interests of Hiplot or others are infringed, the developer must bear all responsibilities and compensate for all losses.

8.4 You understand and agree that this service depends on network communication, telecommunications equipment and other facilities, and we do not guarantee that we can provide this service uninterrupted or fault free. If the service cannot be provided normally due to the following reasons, you understand that we are exempted from liability:

  1. System shutdown maintenance or upgrade;

  2. Overhaul, maintenance or failure of telecommunication equipment, communication lines, power supply lines, etc;

  3. Force majeure reasons such as epidemic situation, typhoon, earthquake, tsunami, flood, lightning, power failure, war or terrorist attack, strike, etc;

  4. Due to viruses, Trojan horses, malicious program attacks, network congestion, system instability, system or equipment failures, communication failures, bank reasons, third-party service flaws or government acts, etc;

  5. You use the service due to improper operation or in a way not recognized by Hiplot and its affiliated companies;

  6. Adjustment due to laws, regulations and regulatory requirements;

  7. Other reasons not attributable to Hiplot and its affiliated companies.

Despite the above agreement, we will take reasonable actions to actively promote the restoration of normal services.

ix.Termination and Transfer of the Agreement

9.1 This Agreement shall be terminated in any of the following circumstances:

9.1.1 Natural termination: unless otherwise agreed by the parties, if the Terms of Use of the Hiplot Platform and the Hiplot Platform User Agreement signed by you are terminated for any reason, this agreement will be terminated at the same time.

9.1.2 Termination by notice: Hiplot may terminate this Agreement by giving a written notice 15 days in advance without being liable for breach of contract;

9.1.3 Unilateral rescission right: If you violate any promise or guarantee in this agreement, Hiplot has the right to immediately terminate this agreement and punish you according to relevant rules:

9.2 Handling after termination of the agreement

9.2.1 After the termination of the service, Hiplot has no obligation to retain any information in or related to the original account for the developer, nor assume any responsibility to the developer or user or any third party for the termination of the service.

9.2.2 Whether the service between Hiplot and the developer is terminated in any way for any reason, Hiplot still has the right to:

  1. Save the developer’s data and previous transaction records;

  2. For any compensation and liability caused by the developer’s illegal or breach of contract behavior before the service termination, the developer must be fully independent, and Hiplot has the right of recourse;

  3. The developer is required to immediately delete all data obtained from the developer platform, including but not limited to user data and application operation data; In addition, Hiplot has the right to take measures to delete relevant data without notice based on the consideration of data security.

9.2.3 Regardless of the termination of this Agreement for any reason, you must fully and independently bear any responsibility arising from your actions before the termination of this Agreement; After the termination of the agreement, Hiplot does not need to continue to provide services to you.

9.3 In order to guarantee the services under this agreement and protect the rights and interests of users, we can transfer all or part of the rights and obligations under this agreement to a third party after being notified. You will understand and cooperate with us.

x.Notice and Delivery

10.1 All notices from Hiplot to developers can be sent via system notice, webpage announcement, email, developer platform internal message, mobile phone short message or regular mail such as WeChat; Such notice shall be deemed to have been delivered to the addressee on the date of sending.

10.2 The developer shall notify Hiplot through the official communication address, mobile phone or fixed phone number, email address and other contact information published by Hiplot, and ensure that it has been delivered and known.

xi.Application of Law and Jurisdiction

  4. Developers shall declare their personal income tax and pay 6% VAT on their income according to law. Hiplot entrusts a third-party company to pay the above taxes. Hiplot promises to take confidentiality measures for the information you submit or know when using the service, and will not disclose your information to a third party unless:

You know and agree that Hiplot will not be liable for any loss (including but not limited to property, income, data and other losses or other intangible losses) that may be caused by any of the following circumstances. You shall be responsible for any loss or liability caused by your own reasons, and Hiplot will not be liable:

The withdrawal system or service cannot operate normally due to force majeure factors such as typhoon, earthquake, tsunami, flood, power failure, war, terrorist attack, etc;

System service interruption or delay caused by hacker attack, technical adjustment or failure of telecommunication department, system maintenance, etc;

Interruption, termination or delay of system services due to government orders, changes in laws and regulations, orders and rulings of judicial and administrative organs, etc;

Shanghai Tengyun Cloud Mapping Hiplot Platform (hereinafter referred to as the platform) provides users and developers of the whole network with an information exchange platform for issuing and receiving orders. The purpose is to improve the efficiency of information communication between developers and demanders, promote the realization of specific data analysis or visualization needs as soon as possible, and ultimately promote the progress of researchers’ related research. On the premise of ensuring this beautiful vision, in order to ensure the smooth and reasonable development of issuing and receiving orders, ensure the interests of both parties, avoid disputes between both parties, maintain the normal operation order of the Hiplot platform, promote the prosperity of transactions between developers and users, and ensure the smooth release of demand, we hereby formulate these rules.

ii.Definitions

  1. Hiplot platform: refers to Shanghai Tengyun Cloud Mapping Hiplot platform (www.hiplot. com. cn) and the actual operator of the platform (Shanghai Tengyun Biotechnology Co., Ltd.).

  2. Employer: refers to users who publish development requirements and purchase services on the platform.

  3. Service provider: refers to the developer users who respond to the employer’s development or procurement needs on the Hiplot platform and provide services to the employer.

  4. Issuing: refers to publishing purchase requests, purchase services, etc. on the Hiplot platform.

  5. Order receiving: refers to responding to the employer’s purchase demand, participating in order receiving competition, and agreeing to deal with the employer on the Hiplot platform.

  6. Winning the bid refers to the act of the Employer to determine the final supplier of services and goods for the bidding project according to the specified process.

iii.Declaration

The release of employer needs shall comply with national laws and regulations as well as relevant provisions of Hiplot platform on demand release.

iv.Prohibit the release of demand categories

The Hiplot platform will refuse to provide services for any demand release that violates the spirit of the Constitution and the relevant laws and regulations of the People’s Republic of China, violates the laws and regulations on scientific research integrity, has ethnic discrimination, exaggerated publicity, is deceptive, is detrimental to socialist morality, or has other adverse effects.

  1. The following orders are prohibited from being released due to violation of laws, regulations and relevant rules of the Hiplot platform:
  1. Orders for software cracking and program cracking;

  2. Website plug-in orders;

  3. Stealing account orders;

  4. Orders infringing the intellectual property rights of a third party;

  5. Orders infringing the rights of third parties;

  6. Trojan horses, hacker programs, order swiping and other orders that damage network security;

  7. Orders involving pornography, gambling and advertising;

  8. Orders spreading online rumors;

  9. Other orders in violation of laws, regulations, administrative rules and other relevant provisions.

  1. The following orders may cause damage to transaction participants or third parties and are prohibited from being issued:
  1. Papers written on behalf of others, commissioned investment, scientific research photos PS, orders for buying and selling papers with authors’ signatures;

  2. Orders requiring mobile phone verification and registration;

  3. Orders that require bank account verification or payment to participate;

  4. Various types of fraudulent orders;

  5. Orders that may obtain the ID card, email, mobile phone number, bank account and other personal or institutional privacy information of the order participant;

  6. Orders such as account trading;

  7. Orders issued by employers with false information;

  8. The order description escapes the approval of the Hiplot platform by linking;

  9. Orders that may cause damage to others or other institutions;

  10. Other orders that violate social ethics or mainstream values;

  11. Orders that require offline transfer, recharge and use of funds.

v.Measures for Handling Illegal Demands

In the release of illegal demand in Article 3, if the Hiplot platform does not find any abnormality, it will be approved. After that, other users will report it, immediately close the order, and punish according to the Hiplot Platform Violations and Handling System.

vi.Requirements Description Rules

  1. The demand description needs to be accurate and complete, and the necessary true and effective description information must be filled in as required.

  2. It is not allowed to fill in information irrelevant to the content of demand release, such as advertisements.

  3. It is not allowed to fill in information that endangers the security of society, transactions and others, such as malicious fraud, illegal, infringing, pornographic and other information. For details, please refer to the Specification for Content Sent on the Hiplot Platform.

  4. If the service provider is suspected of fraud, deception, false promise and needs to bear the cost first, the Hiplot platform has the right to close the demand.

  5. The Hiplot platform can delete, block and disconnect the above violation information without notifying users; The Employer shall be independently liable for any third party damage caused by the release of the above information; If the Hiplot platform suffers losses as a result, the employer should also compensate for them.

vii.Requirements Release Rules

  1. The employer determines the demand, price and time limit for completing the demand independently.

  2. The employer can add labels to the requirements, and the labels should match the content of the requirements. If the labels do not match the content of the requirements or are suspected of violating the law, the Hiplot platform has the right to delete or modify the labels of the requirements.

  3. Contact information shall not be included in the requirements.

  4. The same requirement cannot be published repeatedly. If users publish repeatedly, the Hiplot platform will close the duplicate requirement.

  5. It is prohibited to promote other needs, products or services of yourself or others by publishing demands. Once found, the website will be punished according to the violation of “junk advertising”.

viii.The Employer determines the selected service provider

  1. The employer can select appropriate service providers according to their resumes, developer levels and other information. The employer has the right to refuse to accept orders from service providers who do not meet expectations and re launch their demand.

  2. The Employer shall not participate in the acceptance of orders issued by itself.

  3. The employer can cancel publishing the demand at any time before the service provider is selected; After the service provider is selected and agreed with the service provider, the requirement can be unpublished or republished; After selecting the service provider and signing the service agreement, Party B shall perform its rights and obligations as Party A according to the agreement.

  4. The Hiplot platform has no regulatory obligation on the actual information, transaction content, transaction amount, etc. of the employer and the service provider. The Hiplot platform strongly recommends that the issuing and receiving parties sign the service contract and verify the legal identity certificates of both parties after negotiating the agreed service content. In case of any loss caused to one or both parties during the service process, both parties shall negotiate for settlement or make a legal ruling according to the service contract. During this period, the Hiplot platform will not bear any legal liability.

ix.Enforcement Rules

These Rules, together with the Hiplot Platform Acquirer Agreement, the Hiplot Platform Reporting and Handling System and other rules publicized by the Hiplot platform, constitute the basis for defining the rights, obligations and responsibilities of all parties.

x.Order cancellation

  1. Employer’s unsigned stage:
  1. The Hiplot platform allows cancellation of orders before the employer finally selects a service provider.
  1. Order execution stage: once the Employer finally selects the service provider, both parties will enter the order execution stage, and the order cannot be cancelled except for the following circumstances:
  1. If the service provider fails to comply with the Employer’s work and technical requirements on the project, which makes the transaction purpose impossible, the Employer has the right to immediately cancel the task order being executed or not executed, and has the right to terminate the cooperation.

  2. If the service provider leaks, steals or uses the employer’s scientific research data, the employer has the right to immediately cancel the task orders being performed and/or not performed, in addition to bearing all the consequences caused by the disclosure.

  3. Both parties have reached an agreement on the termination of the project without any dispute.

  1. Both parties understand and agree that this platform will only review the form and content of the evidence submitted by both parties with the judgment of ordinary people, and make judgments. Both parties are responsible for the authenticity, integrity, accuracy and timeliness of the evidence, and bear the consequences of failure to provide evidence.

xi.Liability for breach of contract

  1. Employer’s liability: If the transaction cannot be completed due to the employer’s reason, the service provider will not bear any liability, and the Hiplot platform will not bear any liability for compensation to the service provider.

  2. Responsibility of the service provider: If the service provider fails to complete the order as required, it shall bear the corresponding punishment according to the service agreement signed by both parties.

xii.Settlement of Transaction Disputes

When using the Hiplot platform for transactions, both parties shall abide by the rules on the Hiplot platform, and the platform will not accept any transaction dispute. Both parties of the transaction are requested to negotiate the dispute by themselves or file a lawsuit in the court where one party is located.

In case of any dispute between Hiplot and you regarding the signing, performance or interpretation of this agreement, both parties shall try to solve it through friendly negotiation. If the negotiation fails, Hiplot and you agree that the people’s court where Shanghai Tengyun Biotechnology Co., Ltd. is located shall be the court of first instance.

If these terms and conditions are translated into other languages including English, the Chinese version shall prevail in case of any conflict or ambiguity.

xiii.The Rules shall come into force as of the date of promulgation

  2. Employer: refers to users who publish development requirements and purchase services on the platform.

  4. Issuing: refers to publishing purchase requests, purchase services, etc. on the Hiplot platform.

  5. Order receiving: refers to responding to the employer’s purchase demand, participating in order receiving competition, and agreeing to deal with the employer on the Hiplot platform.

  6. Winning the bid refers to the act of the Employer to determine the final supplier of services and goods for the bidding project according to the specified process.

iii.Declaration

  1. The service provider shall comply with national laws and regulations as well as relevant rules of the Hiplot platform (see www.hiplot. com. cn/instructions/for specific rules), including but not limited to the following rules: Terms of Use of the Hiplot Platform, the Hiplot Platform User Agreement, the Hiplot Platform Developer Agreement, and the Hiplot Platform Order Receiving Agreement.

  2. The Hiplot platform and its operators only assist in releasing the demand for issuing and receiving orders, and have no regulatory obligation on the actual information, transaction content, transaction amount, etc. of the employer and the service provider. The Hiplot platform strongly recommends that the issuing and receiving parties sign a service contract by themselves after negotiating the agreed service content, so as to specify the rights and obligations of both parties. In case of any loss caused to one or both parties during the service process, both parties shall negotiate for settlement or make a legal ruling according to the service contract. During this period, the Hiplot platform will not bear any legal liability.

  3. When using the Hiplot platform to receive orders, service providers should abide by the rules publicized on the Hiplot platform, actively improve their own image and business status, and provide high-quality services to employers.

  4. In order to improve the employer’s consumption experience and maintain the normal operation order of the Hiplot platform, the Hiplot platform will, in accordance with the provisions of this rule and relevant rules, downgrade the service provider and add warning signs on the web page. Those who cause serious consequences will be punished by sealing or canceling their account numbers.

  5. This rule applies to the transactions between the service provider and the employer in the mainland of the People’s Republic of China on the Hiplot platform, and does not apply to transactions outside this scope.

iv.Rights and Obligations of Service Providers

  1. Unless otherwise agreed, the service provider shall unconditionally comply with the Employer’s work and technical requirements on the project when receiving orders.

  2. The tools, equipment and sites required by the service provider to fulfill its contractual obligations under the contract signed with the employer shall be solved by the service provider itself.

  3. The service provider shall charge the corresponding contract price according to the contract signed with the employer. The service provider shall not ask the employer or the Hiplot platform for other fees except the agreed compensation amount under any excuse.

  4. The service provider agrees that in case of dispute with the employer or the Hiplot platform, the data and information recorded on the Hiplot platform can be used as evidence.

  5. The service provider promises that the codes, schemes, design drawings, etc. submitted by it are not suspected of plagiarizing others’ works, and the deliverables submitted are not involved in intellectual property disputes. If they are suspected of plagiarism or infringement of the intellectual property rights of other third parties, once verified, the service provider shall bear all the responsibilities on its own, and shall also compensate the platform or the employer for any losses caused to the platform or the employer.

  6. The service provider promises that if the employer files a claim against the Hiplot platform, or applies to an arbitration institution or a court for litigation due to the service provider, the service provider will bear all losses of the Hiplot platform, and the Hiplot platform has the right to stop the service provider from continuing to use the Hiplot platform.

v.Service provider receiving orders

  1. When participating in the order receiving competition on the Hiplot platform, the service provider shall abide by the provisions of laws, regulations, rules and other normative documents and the relevant rules of the Hiplot platform. The service provider shall not participate in the order receiving competition of illegal demands, otherwise all adverse consequences shall be borne by the service provider.

  2. The service provider shall ensure that all information submitted in the order receiving competition is true and reliable. It is not allowed to exaggerate or falsify their own experience to influence the employer’s judgment in the process of selecting service providers, or to cheat the employer’s trust or mislead the employer’s choice.

  3. After the service provider and the employer have established the contract receiving relationship, they shall sign the service contract offline by themselves; After the service is completed, deliver the service results by yourself.

  4. The service provider shall ensure that the delivered submissions do not infringe the patent, copyright, trademark or any other proprietary rights of a third party.

  5. The ownership of intellectual property rights of the submitted materials shall be determined in accordance with the law, unless otherwise agreed in the contract signed between the service provider and the employer.

vi.The service provider wins the bid

After winning the bid, the service provider shall sign the corresponding written contract with the employer in a timely manner according to the Employer’s demand document and the service provider’s demand response document. The service provider shall properly perform its contractual obligations in accordance with the contract.

vii.Delivery by service provider

  1. The service provider shall timely and properly perform the delivery obligations according to the contract signed with the employer.

  2. If the employer suffers losses due to the violation of the rights of any other third party by the service provider, it has the right to recover from the service provider in accordance with the legal provisions and the contract. The Hiplot platform will not bear any direct or joint liability for breach of contract in this process.

viii.Liability for breach of contract

  1. Both the service provider and the employer shall perform their contractual obligations in accordance with the contract signed by both parties, otherwise they shall bear corresponding liabilities for breach of contract in accordance with the law.

  2. If the service provider and the employer violate the contract signed by both parties, the Hiplot platform has the right to take corresponding punishment measures according to relevant rules.

ix.Settlement of Transaction Disputes

  1. When using the Hiplot platform for transactions, both parties should abide by the rules on the Hiplot platform. Transaction disputes can be handled in accordance with the contract between the parties, and the Hiplot platform will not accept any of them. Both parties to the transaction can negotiate the dispute by themselves or file a lawsuit in the court where one party is located.

  2. In case of any dispute between Hiplot and you regarding the signing, performance or interpretation of this agreement, both parties shall try to solve it through friendly negotiation. V. Dispute Resolution

  1. The user agrees to protect and maintain the interests of the Hiplot platform and other users. If the user violates relevant laws, regulations or any terms under this agreement and causes losses to the Hiplot platform or any other third party, the user agrees to bear the liability for damages caused thereby.

  2. Any dispute between the user and the Hiplot platform shall be exclusively under the jurisdiction of the people’s court of Shanghai Tengyun Biotechnology Co., Ltd. as the court of first instance. At the same time, when the Hiplot platform intends to raise a dispute related to this agreement or Hi currency against users or other third parties, the Hiplot platform has the right to choose the people’s court with jurisdiction where the Hiplot platform is located to exclusively exercise jurisdiction over the dispute.
